The Intermediaries Offer

Members of the general public in the United Kingdom may be eligible to apply for New Shares through the Intermediaries Offer by following the application procedures of the relevant Intermediary, by no later than 10.00 a.m. on 17 October 2018. New Shares are being made available by the Intermediaries listed below.  Offer to retail investors in the United Kingdom only.

The Initial Placing

The Company, the Investment Manager and the Joint Placing Agents have entered into the Placing Agreement pursuant to which the Joint Placing Agents has agreed, subject to certain conditions, to use their reasonable endeavours to procure Placees under the Initial Placing in return for the payment by the Company of placing commission to the Joint Placing Agents.

Details of the Placing Agreement are set out in paragraph [8.2] of Part [7] of the Prospectus.

Placing commitments under the Initial Placing must be received by the Joint Placing Agents by no later than 5.00 p.m. on 18 October 2018. If the closing date of the Initial Placing is extended, the revised timetable will be notified through a Regulatory Information Service.

The Offer for Subscription

New Shares will also be offered for subscription at the Initial Issue Price under the Offer for Subscription. The Offer for Subscription is being made in the United Kingdom only.

Applicants under the Offer for Subscription must specify a fixed amount in Sterling, being the aggregate subscription price for the New Shares for which they wish to subscribe at the Initial Issue Price. The aggregate subscription price is payable in full on application.

The procedures for, and the terms and conditions of, application under the Offer for Subscription are set out below. An Application Form for use in connection with the Offer for Subscription can be found below. Multiple applications may be made by a single investor.

Prospective investors should carefully read the terms and conditions of application under the Offer for Subscription before making an application and should consult their stockbroker, bank manager, solicitor, accountant or other independent financial adviser if they are in any doubt as to the action to take.

Completed Application Forms together with a cheque(s) in respect of the subscription price under the Offer for Subscription must be sent by post to:

Applications under the Offer for Subscription shall be irrevocable and may not be withdrawn without the consent of the Directors.
